PLEASE READ THIS DOCUMENT CAREFULLY.
This document outlines the Terms of Use for SPAutomate (“SPAutomate”, “Company”, “we”, “us”, “our”), including the SPAutomate CRM, AI chatbot workflows, campaign templates, onboarding resources, and related automation services and content (collectively, the “Platform” or “Services”). By subscribing to, accessing, or using SPAutomate in any manner, you (“Client”, “User”, or “Account Holder”) agree to be bound by these Terms of Use (“Terms” or “Agreement”).
If you do not agree with these Terms, do not use SPAutomate.
This Agreement includes our Privacy Policy and any other documents or policies referenced herein. SPAutomate and all subdomains, applications, and related services are collectively referred to as the “Platform.”
1. Introduction
Thank you for choosing SPAutomate, your all-in-one AI-powered marketing and automation platform designed for MedSpas, aesthetic practices, and other service-based businesses. By accessing any aspect of the Platform—including all features, onboarding, templates, automation tools, customer support, tutorials, and content—you are entering a binding contract with SPAutomate.
2. Age of Access
You must be at least 18 years old to use SPAutomate. By using the Platform, you represent and warrant that you are 18 years of age or older. If you are under 18, do not register for or use SPAutomate.
3. Account Registration and Security
Account Holders: You must provide current, complete, and accurate information to register an account and keep your credentials secure. You are responsible for all activity under your account.
Team Members: Account Holders may authorize additional team users, but remain wholly responsible for their activity.
Security: Notify us immediately of any unauthorized use of your account. We are not liable for loss from unauthorized use of your credentials.
4. Subscription Plans, Fees & Payment Terms
Subscription Fees: You agree to pay all applicable fees for your selected subscription plan, as described on our website or otherwise agreed in writing.
AI+ Add-On: Additional features or modules may be available for an additional subscription fee.
Usage-Based Charges: Charges for usage-based services (such as SMS messages and voice calls) are not included in standard subscription fees and will be billed separately based on usage.
Setup Fees: If you elect to have paid onboarding, setup, or configuration services, you agree to pay all applicable setup fees.
Billing Authorization: By subscribing, you authorize SPAutomate to charge your chosen payment method for all fees, recurring according to your billing cycle unless canceled.
Price Changes: We reserve the right to update fees with advance notice before your next billing period.
5. Trial Periods and Promotions
If we offer a free trial or promotional pricing, all details (duration, terms, charges) will be specified at the time of the offer. At the end of any trial, your paid subscription will begin automatically unless you cancel prior to trial expiration.
6. Cancellations and Refund Policy
All sales are final and no refund will be issued.
Chargeback Policy
By subscribing to and using SPAutomate, you agree not to initiate any chargeback, reversal, or payment dispute for any payment made to SPAutomate.
Policy Acceptance
By purchasing or using SPAutomate, you acknowledge and agree to this Refund and Cancellation Policy in full. These policies are clear, explicit, and non-negotiable as a condition of using our Platform.
No Guarantees or Promises of Results
SPAutomate provides software and automation tools “as is,” with no express or implied promises, guarantees, warranties, or assurances of any kind—whether related to performance, outcomes, business results, revenue, leads, appointments, customer acquisition, or any other business metric.
By using our Platform, you acknowledge and agree that SPAutomate does not and cannot guarantee any particular outcome or result from your use of the Platform or Services, regardless of your industry, marketing activities, or business strategy.
Your use of SPAutomate is entirely at your own risk. You accept sole responsibility for any business outcomes.
No Exception Policy
No exceptions to this policy will be made under any circumstances. By subscribing to and using SPAutomate, you expressly acknowledge and accept all terms above as a condition of access to the Platform.
7. Service Scope & Support
Self-Guided Onboarding: Included in all subscriptions—access to CRM, AI workflows, onboarding tutorials, community support, and integrations. No direct technical support or campaign setup is included unless otherwise specified.
Client Responsibility: You are responsible for maintaining, optimizing, and managing your campaigns after onboarding.
8. Ownership, Content & License
Our Platform & Content: SPAutomate, its code, templates, workflows, and all proprietary materials are owned by us and protected by IP law. You are granted a limited, non-transferable license to use SPAutomate only for your own business.
Your Data: All business and client data you input remains yours. By using the Platform, you grant us the right to access, use, and process this data solely to provide and improve our Services.
Restrictions: You may not share, resell, copy, reverse-engineer, or export SPAutomate or any part of its platform, content, or code for commercial use or to competitors.
9. Code of Conduct
You agree to use SPAutomate in compliance with all applicable laws, including privacy, anti-spam, telemarketing, and intellectual property laws. Prohibited activities include but are not limited to:
Unlawful, abusive, harassing, discriminatory, or fraudulent activity
Transmitting viruses or malicious code
Spamming, bulk messaging, or unauthorized solicitation
Sharing your account or content with non-subscribers
Hosting multiple unrelated businesses or client accounts within a single subscription
Violation may result in immediate suspension or termination, without refund.
10. Data Policy & Compliance
You are responsible for all data you input, including ensuring you have appropriate consent to collect, store, and process personal information as required by law (GDPR, CCPA, CAN-SPAM, TCPA, etc.). You agree to indemnify SPAutomate against all claims arising from your data practices or legal non-compliance.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPAutomate SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR BUSINESS INTERRUPTION. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
OUR PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
12. Indemnification
You agree to defend, indemnify, and hold harmless SPAutomate, its owners, employees, agents, and affiliates from any claims, losses, damages, costs, or expenses arising from your use of the Platform, your data practices, your breach of these Terms, or your violation of any law or third-party rights.
13. Modifications to Terms
We reserve the right to update or modify these Terms at any time, for any reason, with notice by posting to our website or via email. Continued use of SPAutomate after changes constitutes acceptance. It is your responsibility to review Terms periodically.
14. Termination
SPAutomate may suspend or terminate your account and access to the Platform at any time, with or without notice, for violation of these Terms, non-payment, suspected fraud, or any conduct harmful to the Platform, our company, or other users. Upon termination, your license is revoked and all data may be deleted.
15. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. All disputes shall be resolved exclusively in the courts of Ohio.
You waive the right to trial by jury and agree any claims must be brought individually, not as a class action.
16. Force Majeure
SPAutomate shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, acts of war, strikes, or internet outages.
17. Severability & Entire Agreement
If any provision of these Terms is deemed unlawful or unenforceable, it shall be severed, and the remainder shall remain in full force. These Terms (and all referenced policies) constitute the entire agreement between you and SPAutomate.
